By accessing or using FidelMind ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Continued use of the Service after such changes constitutes acceptance of the new Terms.

You must be at least 18 years old and capable of forming a binding contract to use this Service. By using the Service, you represent and warrant that you meet these requirements.

FidelMind is an AI-powered bookkeeping and accounting platform designed for small businesses across the European Union. The Service includes automated invoice processing, expense categorization, bank reconciliation, VAT reporting, and financial reporting tools.

The Service is provided as a software-as-a-service (SaaS) platform accessible via web browsers. Features may vary depending on your subscription plan.

We strive to improve and expand the Service continuously. We may add, modify, or remove features at any time without prior notice.

The Service is currently in beta testing. While we make every effort to ensure reliability and data integrity, you acknowledge that beta software may contain bugs, errors, or inaccuracies.

We strongly recommend maintaining independent backups of all financial data. Do not rely solely on the Service for critical business operations during the beta period.

Beta users may be asked to provide feedback, and we may use such feedback to improve the Service without obligation to compensate users.

The Service provides tools and automation for bookkeeping and accounting tasks. However, the output generated by the Service — including categorizations, reports, and calculations — is for informational purposes only.

You should consult with a qualified accountant, tax advisor, or legal professional before making financial or business decisions based on information provided by the Service.

We make no representations or warranties regarding the accuracy, completeness, or applicability of any information generated by the Service to your specific circumstances.

To the maximum extent permitted by applicable law, FidelMind, its directors, employees, partners, and agents shall not be liable for any damages arising from your use of or inability to use the Service.

This includes, without limitation, damages for loss of profits, goodwill, use, data, or other intangible losses, even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or one hundred euros (€100) if you have not paid any fees.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not use the Service to violate any applicable local, national, or international law or regulation.

You are solely responsible for:

• The accuracy and completeness of data you input into the Service
• Reviewing and verifying all AI-generated categorizations and reports
• Compliance with tax laws and regulations in your jurisdiction
• Maintaining appropriate backups of your financial data
• Ensuring your use of the Service complies with all applicable laws

We take your privacy seriously. Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

All data is stored on servers located within the European Union and processed in accordance with the General Data Protection Regulation (GDPR). We implement appropriate technical and organizational measures to protect your data against unauthorized access, alteration, or destruction.

You retain full ownership of your data. We will never sell your personal data to third parties. You may request export or deletion of your data at any time through your account settings or by contacting us.

By using the Service, you consent to the processing of your data as described in our Privacy Policy.

The Service, including its design, code, graphics, and content, is owned by FidelMind and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.

We grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose in accordance with these Terms.

You retain all rights to your data. We claim no ownership over the financial data, documents, or other content you upload to the Service.

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without restriction or obligation to you.

You may terminate your account at any time through your account settings or by contacting us. Upon termination, your right to use the Service will immediately cease.

We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent or abusive activity, or if we discontinue the Service.

Upon termination, we will provide you with a reasonable opportunity to export your data. After a specified retention period, your data will be permanently deleted in accordance with our Privacy Policy.

Sections of these Terms that by their nature should survive termination shall survive, including warranty disclaimers, limitations of liability, and intellectual property provisions.

These Terms shall be governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Estonia.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
